1. Who you are contracting with

These Terms form a contract between you (the customer) andDigiPulse, VAT BE1000.838.278. Throughout these Terms, "GAAI", "we", "us", and "our" refer to that operator. Full legal details are available in the Imprint.

2. What GAAI Cloud is — and is not

GAAI Cloud Memory is a governance layer for AI-assisted project work: it stores project memory, decisions, rules, artefacts and audit history for MCP-compatible clients via standard OAuth + MCP. Public beta access is limited to this Memory service.

GAAI Cloud is not an AI model provider. The underlying Claude / GPT / Gemini inference happens inside the AI tools and agents you connect to GAAI Cloud. We do not proxy your model prompts or ask for your model-provider credentials.

3. Subscription, billing, and refunds

  • Plans (Standard cohort) — Personal Solo at €15/month, Personal Duo at €19/month, and Pro at €49/month, all prices VAT included. Personal Solo, Personal Duo and Pro extra workspaces bill at +€5/mo each above the included plan limit. Personal Solo is capped at 1 seat, Personal Duo is capped at 2 seats, and neither has seat add-ons. Pro includes 3 seats; extra seats bill at +€15/mo each (VAT included). Annual billing saves 20%.
  • What counts as a seat — a seat is one distinct human user with access to at least one workspace in your organization, counted once regardless of how many workspaces they access. Guest and read-only members count as a seat; a pending invitation that has not yet been accepted does not.
  • Pro Founding Members offer — First 100 paying Pro customers post-launch lock at €39/mo Pro for the life of the subscription (price grandfather — kept for as long as the subscription stays active; lapses if the subscription is cancelled). Pro Founding offer ends when (a) 100 customers reached or (b) 8 weeks post-launch, whichever comes later. See Refund policyfor the Founding extended refund clause.
  • Starter (beta) — €0/mo (2 workspaces, 2 seats) while the beta is open. Fair-use safeguards apply.
  • Starter-to-Personal mapping — Starter includes up to 2 seats. When you upgrade, accounts with 1 active seat move to Personal Solo (€15/mo), and accounts with 2 active seats move to Personal Duo (€19/mo). Solo becomes available again after removing a member.
  • Merchant of record — Paddle handles payment, VAT, and invoicing on our behalf. Your card details never touch our systems.
  • Auto-renewal — subscriptions renew at the end of each period. Cancel any time from your account settings ; you keep access until the end of the paid period.
  • Refunds — under EU consumer law you have a 14-day right of withdrawal from the moment of purchase. Founding Members benefit from an extended "anytime current prepaid month refundable, 1× per customer email lifetime" guarantee. Beyond these, partial refunds are considered case-by-case via support@gaai.cloud. Full Refund policy : /refund.
  • Past-due / dunning — if a payment fails we retry per Paddle's standard schedule and email reminders before suspending your account. Workspace data is preserved for 30 days after suspension.

4. Your responsibilities

  • You connect your own AI tools to GAAI Cloud via MCP. You are responsible for configuring those tools, for any model-provider accounts or subscriptions they use, for the model usage costs charged by those providers, and for complying with their applicable terms.
  • You will not upload content that you do not have the right to process, nor use the service for unlawful purposes.
  • You will not attempt to circumvent rate limits, governance gates, or the audit trail itself.
  • You are responsible for the security of your account credentials.

5. Service availability

We aim for high availability but do not commit to a formal SLA at the Personal Solo, Personal Duo or Pro plans. The service is provided "as is" within the limits described in this section. Maintenance windows are announced in advance via email when they would affect availability beyond a few minutes.

6. Intellectual property

You retain all rights to your workspace content (memory entries, decisions, artefacts, code references). We claim no licence to it beyond the technical scope strictly necessary to operate the service.

The GAAI software, brand, and documentation are owned by DigiPulse. The OSS framework portions are licensed separately (seegaai.dev).

7. Data protection

Our handling of personal data is governed by thePrivacy Notice. In short : EU hosting, no model-provider credential storage, append-only audit with HMAC pseudonymisation, GDPR Art.17 erasure honoured end-to-end. As operator we retain technical access to your workspace content, used only to run, support, and secure the service or where legally required (see the Privacy Notice). A Data Processing Agreement (GDPR Art. 28) is available to business customers on request atprivacy@gaai.cloud.

8. Liability

To the extent permitted by Belgian law, our aggregate liability for any claim arising out of or in connection with the service is limited to the amount you paid us in the twelve months preceding the claim. We are not liable for indirect, consequential, or incidental damages, nor for losses that result from your AI agent acting on incorrect or misleading governance entries you authored.

Nothing in these Terms limits liability that cannot be limited under applicable consumer-protection law.

9. Termination

You can terminate at any time from your account settings. We may suspend or terminate access on prior email notice if you breach these Terms in a way that materially affects the service or other customers, or if a sub-processor (Paddle, Cloudflare, Anthropic) terminates a relationship we depend on. Where termination is for cause initiated by us, we will refund the unused portion of any prepaid period.

10. Changes

We may update these Terms when our practices, pricing, or applicable law change. Material changes are announced by email at least 30 days in advance. Your continued use after the effective date constitutes acceptance ; if you disagree you may cancel before the date and receive a prorated refund of the remaining prepaid period.

11. Governing law

These Terms are governed by Belgian law. Disputes are subject to the exclusive jurisdiction of the competent courts of the Brussels district, without prejudice to mandatory consumer-protection rules that grant you access to the courts of your habitual residence.
